These Terms of Use ("Terms") govern your access to and use of the WhyNote mobile and desktop application for iOS and macOS (the "App") and related services (collectively, the "Services"), provided by Limited Liability Partnership "42APPS" ("we," "us," or "our").
By downloading, accessing, or using the App, you agree to be bound by these Terms. If you do not agree, do not use the App.
By using the App, you confirm that you have read, understood, and agree to these Terms. If you use the App on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.
You must be at least 13 years old, or the minimum legal age in your country, to use the App. By using the App, you represent that you meet this requirement.
Some features of the App require creating an account. You agree to provide accurate and complete information and to keep your login credentials secure. You are responsible for all activity that occurs under your account.
WhyNote provides AI-powered speech-to-text transcription, summaries, and note creation based on audio or text provided by you.
You acknowledge and agree that:
You are solely responsible for reviewing and verifying all generated content before relying on it.
You retain ownership of any audio files, text, or other materials you upload or submit to the App ("User Content"). By using the App, you grant us a limited, non-exclusive, non-transferable license to process your User Content solely for the purpose of providing and improving the Services.
You represent that you have all necessary rights and permissions to upload and process such content, including consent from any recorded individuals, where required by law.
Your use of the App is subject to our Privacy Policy, which explains how we collect, use, and protect your information. By using the App, you consent to such processing.
Some features of the App require a paid subscription ("Subscription").
Refund terms for web-based purchases are described in our Refund Policy. Refunds for App Store purchases are handled directly by Apple according to its policies.
All rights, title, and interest in the App, including software, design, text, graphics, logos, and functionality, excluding User Content, are owned by Limited Liability Partnership "42APPS" or its licensors. You may not copy, modify, distribute, sell, lease, reverse engineer, or exploit any part of the App without our prior written permission.

The App and Services are provided "as is" and "as available," without warranties of any kind, express or implied. We do not guarantee uninterrupted operation, error-free performance, or the accuracy of AI-generated content.
To the maximum extent permitted by law, Limited Liability Partnership "42APPS" shall not be liable for any indirect, incidental, consequential, or special damages arising from your use of the App. Our total liability shall not exceed the amount you paid for the Services during the twelve months preceding the claim.
We may suspend or terminate your access to the App at any time, with or without notice, if you violate these Terms or if required by law. You may stop using the App at any time.
We may update these Terms from time to time. If changes are material, we will notify you through the App or other reasonable means. Continued use of the App after changes become effective constitutes acceptance.
These Terms are governed by applicable laws of the Republic of Kazakhstan without regard to conflict of law principles.
